1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you ("Client") and APPSOL TECHNOLOGIES LLP (UEN: T26LL0046F), concerning your access to and use of our website and software development services.

2. Services

We provide software and application development services. The specific scope of work, timeline, and deliverables will be outlined in the specific invoice, quotation, or subscription plan agreed upon by both parties.

3. Intellectual Property Rights

• Client Assets: You retain all rights to the content, logos, and images you provide to us.
• Deliverables: Upon full payment of all fees, we grant you a perpetual, non-exclusive license to use the custom code and designs created for your project.
• Pre-existing Code: Appsol Technologies retains ownership of any pre-existing code libraries or frameworks used to build the project, granting you a license to use them for the operation of your website/application.

4. Payment Terms

• Invoices: Payment is due within 7 days of the invoice date.
• Late Fees: A late fee of SGD $25 may be applied to invoices unpaid after the grace period.
• Subscriptions: Monthly subscription services typically carry a minimum commitment term (e.g., 12 months) as specified in your agreement.

5. Limitation of Liability

To the fullest extent permitted by law, Appsol Technologies LLP shall not be liable for any indirect, consequential, or incidental damages arising out of the use or inability to use the services provided. Our total liability shall not exceed the amount paid by you to us during the six (6) months prior to the claim.

6. Governing Law

These Terms shall be governed by and defined following the laws of Singapore. Appsol Technologies LLP and yourself irrevocably consent that the courts of Singapore shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
